1. Accepting these terms

These Terms of Use are an agreement between you and NextCrew Corporation, an Illinois corporation with its principal place of business at 2700 Patriot Blvd #250, Glenview, IL 60026, United States ("NextCrew", "we", "us"). By visiting or using www.nextcrew.com and the pages, forms and downloads on it (the "Site"), you accept these terms. If you do not accept them, do not use the Site.

2. What these terms cover

These terms cover the public Site only. They do not grant any right to use the NextCrew platform, the Crew mobile apps or any agency or client portal. Access to those is licensed separately under a written agreement, and nothing on the Site — including a description of a feature, a price indication, a calculator result or a published roadmap — creates a contract, a warranty or a commitment to deliver anything.

Our Privacy Policy and our Cookie Policy are part of these terms.

3. Who may use the Site

You must be at least 18 years old to use the Site. If you use it for a business, you confirm that you are authorized to accept these terms for that business, and "you" then means both you and that business. The Site is operated from the United States and directed to business users there; if you use it from elsewhere, you are responsible for complying with your own local law.

4. Permitted use

We grant you a limited, personal, non-exclusive, non-transferable, revocable right to view the Site and to download material we make available for download, for your own internal business purposes. You may share a link to any page. Any other use needs our written permission.

5. What you may not do

You may not:

• copy, republish, sell, rent or redistribute any part of the Site, or use it to build or train a competing product or a machine learning model;
• scrape, crawl, harvest or otherwise extract content or contact data by automated means, except by a search engine crawler obeying our robots file;
• reverse engineer, decompile or attempt to derive the source code of anything reachable through the Site;
• probe, scan or test the security of the Site, attempt to gain access to any account, system or data you are not authorized to reach, or interfere with the Site's operation;
• submit false information, impersonate anyone, or use a form to send spam, malware or unlawful content;
• remove, obscure or alter any copyright, trademark or other proprietary notice; or
• use the Site in any way that breaks the law or infringes anyone's rights.

6. Accounts and credentials

Some areas reached from the Site require a login. You are responsible for keeping your credentials confidential and for everything done under them. Credentials are issued to a named person and may not be shared. Tell us promptly at the address in section 20 if you believe a credential has been compromised.

7. Our intellectual property

The Site and its content — text, graphics, layouts, images, video, software and the selection and arrangement of all of it — belong to NextCrew or our licensors and are protected by copyright, trademark and other laws. "NextCrew", "CrewPilot AI" and our logos are our marks. You may not use them without our written permission. Product names and logos belonging to other companies are the property of those companies, and their appearance on the Site indicates an integration or a compatibility statement, not an endorsement by them of NextCrew.

8. What you send us

Do not send us confidential information through the Site. If you send us feedback, suggestions, ideas or other material about our products, you grant us a perpetual, worldwide, royalty-free right to use it for any purpose without any obligation to you, and you confirm you have the right to send it. Personal information you submit is handled under our Privacy Policy.

9. Email and text messages

When you give us your email address or phone number on the Site, you agree that we may contact you about your request and about our products and events. Every marketing email includes an unsubscribe link. If you opt in to text messages, message and data rates may apply, message frequency varies, you can reply STOP to stop and HELP for help, and consent to marketing messages is never a condition of buying anything. Messages sent through the NextCrew platform by a staffing agency to its own Crew Members come from that agency, under its own messaging registration, and are its responsibility.

10. Third-party sites and names

The Site links to sites we do not control, including our integration partners, our support portal and third-party review sites. We are not responsible for their content, their products or their privacy practices, and a link is not an endorsement. Any dealing you have with them is between you and them.

11. No professional advice

Everything on the Site is general information about staffing software. It is not legal, employment, tax, accounting, immigration or human resources advice, and you should not act on it without advice from your own qualified advisors. NextCrew is not a professional employer organization, a payroll provider, a consumer reporting agency, a background screening agency or a law firm.

Calculators, benchmarks, sample dashboards and estimates on the Site are illustrations built on assumptions we state. They are not a forecast of your results. Where the Site describes an artificial intelligence feature, that feature flags, ranks, recommends, surfaces and monitors — the decision, and the responsibility for it, stay with a person at your agency.

12. Software provider, not an employer

NextCrew is a software provider. We are not a staffing agency, an employer of record, a professional employer organization or a joint employer, and we are not a party to any employment, engagement or placement relationship created, managed or paid through our platform.

• Crew Members, candidates and every other person who uses the platform through a customer's account are not NextCrew's employees, workers, contractors or agents. Their relationship is with the staffing agency that engaged them, or with that agency's client — never with us. Nothing on the Site, and nothing the platform does, creates any employment relationship between NextCrew and any user of a customer's account.
• Each customer is solely responsible for its own compliance with every law that applies to its business, including employment, wage and hour, overtime and worker-classification rules; payroll and tax obligations; employment-eligibility verification; licensing, credentialing and background-check requirements; workers' compensation; workplace safety; and the laws governing its communications with its own workforce.
• NextCrew does not monitor, interpret or give advice about those laws, does not warrant that any configuration of the platform satisfies them, and does not notify customers when they change. Calculations the platform performs — pay, overtime and billing included — run on rules the customer configures, and the customer is responsible for the results.
• To the fullest extent permitted by law, NextCrew has no liability for any claim arising out of a customer's staffing operations, hiring decisions or employment practices, whether or not the platform was used in connection with them. Any such claim belongs with the agency or client whose decision it was.

13. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any content is accurate, complete or current. Any uptime commitment for the platform lives in the signed agreement, not here.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXTCREW AND ITS OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). If you license the NextCrew platform, liability relating to the platform is governed by the limitation in your signed agreement, not by this section. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You will defend, indemnify and hold harmless NextCrew and its officers, employees and agents from any claim, loss, liability, cost or expense, including reasonable attorneys' fees, arising out of your use of the Site, your breach of these terms, your violation of any law or of anyone's rights, or — if you use the Site for a staffing business — any claim by a Crew Member, candidate, client or other person arising out of your staffing operations or employment practices. We may take over the defense of any matter subject to this section at your expense, and you will not settle it without our written consent.

16. Copyright complaints

If you believe material on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent with: your signature, physical or electronic; identification of the work you say is infringed; identification of the material and its location on the Site; your contact details; a statement that you believe in good faith the use is not authorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner.

17. Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to its conflict of laws rules. You and NextCrew agree that the state and federal courts located in Cook County, Illinois have exclusive jurisdiction over any dispute arising out of or relating to the Site or these terms, and you consent to personal jurisdiction there.

Each party waives any right to a jury trial. Any claim relating to the Site must be brought within one year after it arises, or it is permanently barred. These terms contain no arbitration provision. If you license the NextCrew platform, the dispute resolution terms of your signed agreement govern disputes about the platform.

18. Changes and termination

We may change these terms at any time by posting an updated version with a new effective date. Continuing to use the Site after that date means you accept the change. We may also change, suspend or withdraw any part of the Site, and may suspend or block your access to it, at any time and without notice. Sections 7, 8 and 11 through 19 survive any termination.

19. General

If any provision of these terms is held unenforceable, it is limited or removed to the minimum extent necessary and the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to a successor in connection with a merger, acquisition or sale of assets. Nothing in these terms creates a partnership, joint venture, employment or agency relationship. Together with the policies referenced in section 2, these terms are the entire agreement between you and NextCrew about the Site.
